StoreUp Terms of Service
These terms describe how you may use StoreUp, including when you sign in, manage your store and products, and use checkout and payouts. For how we handle personal data, read our Privacy Policy.
1. Agreement
These Terms of Service ("Terms") govern access to and use of StoreUp, including our website, dashboards, checkout flows, and related services (together, the "Service"). The Service is provided from Australia. In these Terms, "StoreUp", "we", "us", and "our" refer to the party operating the Service. By creating an account, signing in, listing products, making a purchase, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. Our Privacy Policy explains how we handle personal information and works together with these Terms. See the Privacy Policy for details on data we collect when you authenticate, manage your profile and store, create products, and pay or get paid.
2. The Service
StoreUp provides tools for sellers to create a storefront, publish digital products, manage listings, and receive orders, and for customers to discover products and complete purchases. We may change, suspend, or discontinue features with reasonable notice where practicable. We do not guarantee uninterrupted or error free operation.
3. Accounts and authentication
You access the Service using sign in and sign up flows provided through our authentication partner. You must provide accurate, current profile and contact information and keep it updated. You are responsible for activity under your account and for safeguarding your credentials. Notify us promptly at hello@storeup.io if you suspect unauthorized access. We may suspend or terminate accounts that appear compromised or that violate these Terms.
4. Store, products, and your content
When you use the dashboard and onboarding flows, you may create and edit store settings, branding, links, collections, and digital products (including titles, descriptions, media, files, and pricing). You retain ownership of content you upload, subject to the license you grant us below. You represent that you have all rights needed to sell and distribute what you list, that your content does not infringe third party rights, and that your products comply with applicable laws. You are solely responsible for what you publish, support obligations you offer buyers, and the quality and fitness of your products. We may remove or restrict content or listings that we reasonably believe violate these Terms or pose risk to users or the Service.
5. License to StoreUp
You grant StoreUp a non exclusive, worldwide, royalty free license to host, store, reproduce, display, and distribute your content as needed to operate the Service, including showing your storefront and fulfilling purchases. You may remove or update listings you control subject to outstanding orders and legal requirements.
6. Purchases for customers
Customers may purchase digital products through flows presented at checkout. Prices, taxes, and available payment methods are shown before you pay. When you buy, you receive the rights granted by the seller in their listing and applicable law, not ownership of the underlying intellectual property unless expressly stated. Refund and support policies are primarily between buyer and seller unless we state otherwise or law requires a different approach.
7. Payments, payouts, and taxes
Payments for orders are processed using payment providers integrated with the Service, including card processing through Stripe and, where offered, PayPal. By paying, you agree to the applicable payment provider terms and to provide accurate billing information. StoreUp does not store full card numbers on our servers in place of those providers. Sellers may add payout details in the dashboard so we can transfer amounts owed according to our payout processes and your region. You authorize us and our partners to charge or transfer amounts for completed transactions, applicable fees, adjustments, and refunds as described in the product experience or checkout.
8. Acceptable use
You will not misuse the Service. Prohibited conduct includes illegal activity, fraud, attempting to bypass security, distributing malware, harassing others, scraping in violation of our rules, reselling access to the Service without permission, or interfering with other users or infrastructure. We may investigate violations and cooperate with authorities where required.
9. Third party services
The Service relies on third parties such as authentication, payments, hosting, storage, and analytics providers. Their services are subject to their own terms and privacy notices. Downtime or changes by those providers may affect the Service.
10. Disclaimers and limitation of liability
The Service is provided "as is" and "as available" to the maximum extent permitted by law. We disclaim implied warranties where allowed. We are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill, except where liability cannot be excluded under applicable law. Our aggregate liability arising out of these Terms or the Service is limited to the greater of amounts you paid to StoreUp for the Service in the twelve months before the claim or one hundred Australian dollars, except where such a cap is not permitted.
11. Indemnity
You will defend and indemnify StoreUp and our officers, directors, employees, and agents against claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your products, your breach of these Terms, or your violation of law or third party rights.
12. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, risk to the Service, legal requirements, or extended inactivity as we may define in the product. Provisions that by nature should survive will survive termination, including licenses granted to us for reasonable wind down, payment obligations accrued, and liability limits where enforceable.
13. Governing law
These Terms are governed by the laws of New South Wales, Australia, and you submit to the non exclusive jurisdiction of courts located there, subject to mandatory consumer protections where you qualify.
14. Changes
We may update these Terms by posting a revised version on this page or notifying you through the Service or by email where appropriate. Continued use after the effective date constitutes acceptance unless law requires express consent.
